DBS & MSI?s Buyers Deal Only with Legitimate, Pre-Approved Sellers
To ensure that our're buyer clients are dealing only with authorized and direct sellers of Note & REO assets, MSI has engaged the services of an outside law firm to conduct an independent evaluation of every prospective seller client of DBS and MSI. The primary purpose of the law firm?s evaluation is to ascertain whether the Note & REO assets are being offered by a legitimate entity and whether that entity possesses the requisite authority to sell them.
To accomplish this task, the law firm generally reviews, scrutinizes and conducts an independent investigation of each seller and of any information submitted by them in support of their request to be considered by MSI as a Note or REO seller. The law firm may also review third-party sources of information about the prospective seller, including, for example, information available through the FDIC, the Federal Reserve Board, FINRA and the SEC. The law firm will also frequently engage in conversations and exchange correspondence with the top level executives of a proposed selling source, and interview additional company personnel, including Board members and officers of any controlling entity or parent company. In some cases, the law firm will go so far as to conduct character diligence on the proposed selling source by completing interviews with reputable financial institution personnel who are familiar with the selling source and/or their management.
After completing its investigation into a proposed seller source, the law firm prepares a formal opinion/attestation letter to MSI with the results of its investigation into the viability of the entity to be a seller client. What this means to DBS & MSI buyer clients is that they will deal only with pre-approved sellers that have the requisite authority, ability and assets to close a Note or REO transaction.
Buyer?s Representatives, Brokers, Mandates and Intermediaries
MSI & DBS will work with buyer?s Representatives, Brokers and Mandates if they are direct to a legitimate buyer and if they can show a written contract between them and the buyer. (The validity of this contract will need to be confirmed by the outside law firm to MSI.) In some cases, we will consider working with an Intermediary, but only if they can show a written contract between themselves and a credible Representative, Broker or Mandate. (The Intermediary will also be required to submit evidence of a written agreement between the end-buyer and the Representative, Broker or Mandate with which the Intermediary has entered an agreement. Both contracts will be required to be verified by outside counsel to DBS & MSI.)
Regardless of the standing of a party as an authorized Representative, Broker or Mandate to a buyer client, every end-buyer (the entity who will take title to the acquired assets) that desires to acquire Note or REO assets from or through MSI will be required to complete MSI?s buyer verification process, including the independent evaluation by MSI?s outside counsel.
